TO THE FULLEST EXTENT PERMITTED BY LAW, CENTRICITY, TONY MANGANIELLO, AND THEIR RESPECTIVE OFFICERS, DIRECTORS, EMPLOYEES, CONTRACTORS, LICENSORS, AND SERVICE PROVIDERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, BUSINESS OPPORTUNITY, OR EXPECTED SAVINGS, ARISING FROM OR RELATED TO THE SITE OR THESE TERMS, EVEN IF ADVISED THAT SUCH DAMAGES WERE POSSIBLE.
TO THE FULLEST EXTENT PERMITTED BY LAW, THEIR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING FROM OR RELATED TO THE SITE OR THESE TERMS WILL NOT EXCEED ONE HUNDRED U.S. DOLLARS ($100).
These limitations do not exclude liability that cannot lawfully be excluded or limited.
To the fullest extent permitted by law, you agree to defend, indemnify, and hold harmless Centricity, Tony Manganiello, and their respective officers, directors, employees, contractors, licensors, and service providers from claims, liabilities, damages, judgments, losses, and reasonable costs arising from your unlawful use of the Site, your violation of these Terms, or your infringement of another person’s rights.
These Terms are governed by the laws of the State of Arizona, without regard to conflict-of-law principles. Any legal action arising from or relating to the Site or these Terms that is not subject to another written agreement must be brought in a state or federal court with jurisdiction in Maricopa County, Arizona. You and Centricity consent to the personal jurisdiction and venue of those courts.
We may update these Terms from time to time. The revised Terms will be posted on the Site with a new effective date. Changes apply prospectively when posted unless applicable law requires additional notice. Your continued use of the Site after the effective date of revised Terms constitutes acceptance of those Terms.
These Terms and the Privacy Policy constitute the entire agreement concerning your use of the Site, except where a separate written agreement applies. If any provision is held unenforceable, it will be modified only to the minimum extent necessary or severed, and the remaining provisions will continue in effect. Our failure to enforce a provision is not a waiver. You may not assign your rights under these Terms without our written consent. We may assign these Terms in connection with a merger, reorganization, sale of assets, or operation of law.
